Construction Industry Scheme (CIS)

Although the spirit of the rules are the same, an inside IR35 determination does not prevent CIS payments, provided an individual can demonstrate they are not subject to Supervision, Direction or Control (SDC) under their assignment.

The Reality

There are no fixed parameters to pass an SDC test, which once completed are based on the workers interpretation and the answers they provide.

It is a subjective test with no “one size fits all” answers.

The end client’s Status Determination Statement (SDS) also has a major bearing if HMRC were to investigate. Does it match the answers provided by the worker?

An IR35 fail doesn’t mean no CIS by default as in many cases both tests may reach a similar decision. There are times where CIS SDC and the result of SDS test will not be completely aligned (one passes one fails and could go both ways)

HMRC will also look at “the reality” of the working relationship, contracts and the day to day activities of the role in question.

Therefore, if challenged by HMRC, “the reality” is:

  • the SDC test,
  • the SDS,
  • contracts
  • and the day to day activities of the role

All have to be aligned and consistent with each other, in order to have a chance of defending any challenge.

Professional Employer Organisation (PAYE)

A Professional Employer Organisation, referred to as a ‘PEO’, is an outsourcing company structured to support businesses across all sectors with HR and Financial Services. This is a very successful American business model, growing 8% year-on-year since 2008; primarily due to employees obtaining access to medical cover.

Typically PEO is based around a ‘Joint Employment’ contract where the worker is employed by two companies. This element of PEO has not proven to be as well received in the UK, leading to the creation of PEO without joint employment, the ‘UK Version’.

The ‘UK Version’ provides a more transparent structure and employment model for workers whilst maintaining the benefits of a PEO to businesses, which is why Ship Shape only provides the UK Version.

This is a highly effective and efficient way to engage your workers via a full employment model with PAYE payroll. PEO should be seen as a strong alternative to either a PAYE Bureau or the running of an internal payroll department.

Umbrella is an employment model combined with PAYE payroll, providing a simple and demonstrably compliant option for businesses. Workers employed under this model receive all statutory employment rights and continuous employment.

For businesses, the Umbrella employment model removes the responsibility and costs for statutory obligations, ‘Right to Work’ (RTW) checks, employment tribunals and employers insurances; as the Umbrella company becomes the sole employer with all employer liabilities.
